Terms of Service

These Terms of Service ("Terms") govern your purchase and use of software products and services offered by GPS Online ("Company", "we", "us"). By placing an order or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website, requesting a quote, or purchasing any product or service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

GPS Online provides:

• Ready-made business software products (white-labeled and configured for client use)
• Custom software development services
• Software maintenance and support services
• Server setup, hosting, and deployment assistance
• API integration and technical consulting

3. Software Licensing

License Grant

Upon full payment, GPS Online grants you a non-exclusive, non-transferable license to use the purchased software according to your plan:

• Starter Plan: Use on 1 domain/server. No redistribution or resale rights.
• Professional Plan: Use on up to 3 domains/servers. Includes source code for personal modification. No resale rights.
• Enterprise Plan: Use on unlimited domains/servers within your organization. Includes source code. No resale rights.
• White-label Plan: Full reseller rights. You may sell the software to your own clients under your brand.

Restrictions

• You may not reverse engineer, decompile, or disassemble the software (except where explicitly permitted by source code plans)
• You may not sublicense, sell, or transfer the software without explicit White-label plan rights
• You may not remove or alter GPS Online copyright notices in non-White-label plans
• You may not use the software for unlawful purposes or in violation of applicable regulations

4. Payment Terms

• All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
• Standard projects: 50% advance payment, 50% on delivery.
• Small projects (under ₹25,000): Full payment before delivery.
• Large projects (over ₹1,00,000): Milestone-based payments as per agreed schedule.
• Payment is non-refundable once development/customization work has commenced, except as provided under our warranty terms.
• GST invoice will be provided for all transactions. GST is applicable at current government rates.

5. Delivery & Deployment

• Standard delivery time is 24–48 hours from payment confirmation for ready-made products.
• Custom development timelines are specified in the individual project agreement.
• Delays caused by client-side factors (late hosting setup, late provision of assets) will not be counted toward our delivery commitment.
• We will notify you immediately of any delays and provide revised timelines.

6. Warranty & Support

Bug-Free Warranty

We warrant that the delivered software will function as demonstrated and specified. Bug fix periods by plan:

• Starter: 30 days from delivery
• Professional: 90 days from delivery
• Enterprise & White-label: Lifetime bug fixes

The warranty covers: functionality not working as demonstrated; critical security vulnerabilities discovered post-delivery; server configuration errors caused by our setup.

The warranty does NOT cover: issues arising from client modifications to the code; third-party API failures or changes; server/hosting issues outside our control; feature requests beyond original scope.

Support

Support terms are as described in our Pricing plans. Response times are best-effort commitments; SLAs are guaranteed only in Enterprise plans.

7. Intellectual Property

GPS Online retains all intellectual property rights to the underlying software framework, codebase, and technology for non-source-code plans. For source code plans, you receive a license to use and modify the code but GPS Online retains copyright ownership. White-label plans transfer specific usage rights as described in the individual agreement.

8. Prohibited Uses

You agree not to use our software or services for:

• Illegal financial activities, money laundering, or fraud
• Unauthorized collection or processing of personal data
• Activities that violate RBI, NPCI, or other regulatory guidelines
• Spam, phishing, or any deceptive practices
• Distributing malware or engaging in cyberattacks
• Any activity that violates applicable Indian or international law

9. Limitation of Liability

To the maximum extent permitted by applicable law, GPS Online shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our software or services, including but not limited to loss of profits, data, or business interruption.

Our total liability in any circumstances shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

10. Termination

GPS Online reserves the right to terminate your license and access to support services if you materially breach these Terms and fail to remedy the breach within 14 days of written notice. Upon termination, you must cease using the software; however, data exported before termination remains yours.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts in New Delhi, India. Both parties agree to attempt resolution through good-faith negotiation before initiating formal proceedings.
